Standard Pilot Terms

Please read these terms carefully as they contain essential information regarding your legal rights, responsibilities, and obligations during the pilot period.

These terms will only apply for the Pilot period, as specified in the Mutual Plan.

Customer will keep the existence and contents of the Mutual Plan confidential in perpetuity. Both iLobby and Customer will keep all information shared under this project strictly confidential for a period of three (3) years from the date this Mutual Plan ends. Without limitation, confidential information will include trademarks, copyrights, trade secrets, technology, software, promotions, and pricing details.
Customer will not modify, reverse engineer, adapt, translate, decompile, or otherwise derive the source code from the software that iLobby will deliver. Customer will only use the software as per the Mutual Plan.
FacilityOS and all products therein, including VisitorOS and EmergencyOS, are not a replacement for standard emergency procedures and do not contact or provide “emergency services.”
All intellectual property associated with this Pilot program (including delivered software and hardware) belongs and will belong exclusively to iLobby.
Customer may access and use the Pilot program on a non-exclusive, non-transferable, non-assignable basis.
iLobby will maintain commercially reasonable technical security measures to preserve security, integrity, privacy, and confidentiality of the data collected and stored under this Pilot program.
IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL, SPECIAL, DIRECT, ACTUAL, OR INDIRECT DAMAGES.
iLobby reserves the right to suspend or discontinue this Pilot program at any time.
Confidentiality obligations of the parties in these standard pilot terms will survive expiration/termination of the Pilot project.
